Terms and Conditions of Use

Any and all use of business and financial data, editorial content, other data and information, compilation, selection and arrangement of such content and data, navigational aids and software within computer readable files, copies of documents, and databases compiled from that data (collectively "Content Services") provided by Thomson Financial, is subject to the terms and conditions of use set forth herein. BY USING THE CONTENT SERVICES YOU ("USER") ARE MANIFESTING YOUR ASSENT AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS OF USE. Thomson may change these terms of use from time to time. User is responsible for checking these terms periodically for change. If User continues to use the Content Services after changes are posted to the terms of use, User is manifesting its acceptance of the new terms.

Thomson or its third party providers own and retain all rights, title and interest, including but not limited to copyright, trademarks, patents, database rights, trade secrets, know-how, and all other intellectual property rights or forms of protection of similar nature or having equivalent effect, anywhere in the world, in the content and User is not granted any proprietary interest therein or thereto. The Content Services constitutes confidential and trade secrets of Thomson or its third party providers. Display, performance, reproduction, distribution of, or creation of derivative works or improvements from the Content Services in any form or manner is expressly prohibited, except to the extent expressly permitted hereunder, or otherwise, with the prior written permission of Thomson. Removal of Thomson or its third party providers' proprietary notices is prohibited.

USE OF CONTENT SERVICES

User may use the Content Services for internal purposes only. User may copy, paste and distribute only insubstantial amount of the data contained in the Content Services provided that: (a) the distribution is incidental to or supports User's business purpose, (b) the data is not distributed by User in connection with information vending or commercial publishing (in any manner or format whatsoever), not reproduced through the press or mass media, not distributed with open access on the Internet, and (c) where practicable, clearly identifies Thomson or its providers as the source of the data. Data will be considered in "insubstantial amount" if such amount (i) has no independent commercial value, (ii) could not be used by the recipient as a substitute for any product or service (including any download service) provided by Thomson or a substantial part of it.

Violation of these terms and condition may result in immediately termination of User's right to access and use the Content Services and User shall cease to use Content Services and delete or destroy all copies thereof in its possession or control.

THE CONTENT SERVICES IS PROVIDED FOR GENERAL INFORMATION PURPOSES ON COMPANIES AND TOPICS SELECTED BY THOMSON OR ITS THIRD PARTY PROVIDERS AT THEIR DISCRETION AND PROVIDED ON A BLIND-BASIS WITHOUT ANY KNOWLEDGE AS TO USER'S IDENTITY, INDUSTRY OR SPECIFIC CIRCUMSTANCES. PROVISION OF THE CONTENT SERVICES DOES NOT CONSTITUTE THE RENDERING OF INVESTMENT, LEGAL, FINANCIAL, ACCOUNTING, TAX OR OTHER PROFESSIONAL ADVICE OR SERVICES ON AN INDIVIDUALIZED OR ANY OTHER BASIS. THOMSON SHALL NOT BE DEEMED IN ANY WAY TO BE ACTING AS AN INVESTMENT ADVISOR AS SUCH TERM IS DEFINED AND USED IN THE INVESTMENT ADVISOR'S ACT OF 1940 OR ANY RULE OR REGULATION PROMULGATED THEREUNDER. THE CONTENT SERVICES SHOULD NOT BE RELIED UPON OR USED AS A SUBSTITUTE FOR CONSULTATION WITH LICENSED PROFESSIONAL ADVISORS.

NO WARRANTIES

NEITHER THOMSON NOR ITS THIRD PARTY PROVIDERS WARRANT THAT THE PROVISION OF THE CONTENT SERVICE WILL BE UNINTERRUPTED, ERROR FREE, TIMELY, COMPLETE OR ACCURATE, NOR DO THEY MAKE ANY WARRANTIES AS TO THE RESULTS TO BE OBTAINED FROM USE OF THE SAME. USE OF THE CONTENT SERVICE AND RELIANCE THEREON IS AT USER'S SOLE RISK. NEITHER THOMSON OR ITS THIRD PARTY PROVIDERS WILL IN ANY WAY BE LIABLE TO USER OR ANY OTHER ENTITY OR PERSON FOR THEIR INABILITY TO USE THE CONTENT SERVICE, OR FOR ANY INACCURACIES, ERRORS, OMISSIONS, DELAYS, COMPUTER VIRUS OR OTHER INFIRMITY OR CORRUPTION, DAMAGES, CLAIMS, LIABILITIES OR LOSSES, REGARDLESS OF CAUSE, IN OR ARISING FROM THE USE OF THE CONTENT SERVICE. THE CONTENT SERVICE IS PROVIDED ON AN "AS IS" BASIS AND WITHOUT WARRANTY OF ANY KIND. NO WARRANTIES EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, INFRINGEMENT OR OTHERWISE IS PROVIDED HEREUNDER.

LIMITATION OF LIABILITY

IN NO EVENT WILL THOMSON OR ITS THIRD PARTY PROVIDERS BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION DIRECT OR INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSSES OR EXPENSES ARISING IN CONNECTION WITH CONTENT SERVICE EVEN IF THOMSON OR ITS THIRD PARTY PROVIDERS OR THEIR REPRESENTATIVES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, LOSSES OR EXPENSES. FURTHER, THOMSON OR ITS PARTY PROVIDERS SHALL NOT BE LIABLE IN ANY MANNER FOR DISTRIBUTOR'S PRODUCTS OR SERVICES.

NO IMPLIED ENDORSEMENTS

In no event shall any reference to any third party or third party product or service be construed as an approval or endorsement by Thomson of that third party, securities of that third party, or of any product or service provided by a third party.

JURISDICTIONAL ISSUES

Thomson makes no representation that the Content Services are appropriate or available for use outside the United States. Those Users who choose to access the Content Services from outside the United States do so on their own initiative and are responsible for compliance with local laws, if an to the extend such laws are applicable.

ENFORCEMENT OF TERMS AND CONDITIONS

These terms and conditions of use are governed and interpreted pursuant to the laws of the State of New York, United States of America, notwithstanding any principles of conflicts of law. No failure by Thomson to enforce any of its rights under these terms and conditions shall be deemed a waiver of those rights. If any part of these terms and conditions is unlawful, void or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provision.
